Key Accountabilities

STRATEGIC RESPONSIBILITIES

  • Develop the Corporate Governance Strategies that defines the business relationships that exist between company shareholders,

management teams, the Board of directors, and all other key stakeholders.

  • Drive the administration of Delegation & Authority Metrics Frameworks across the organization to ensure levels of delegations and authorities are clearly communicated and adhered to.

  • Development of the Corporate Governance Systems and Frameworks e.g., QMS, policies and procedures.

  • Review the budget requirements of the overall Corporate Governance Function, and accordingly participate in the Department budget development.

FUNCTIONAL RESPONSIBILITIES

  • Establish the Corporate Governance Frameworks and manuals that required for Panda Retail Company organization to operate

sustainably, effectively, and consistently.

  • Ensure the Governance across the organization are in place by developing the departmental Policies, Guidelines and procedures that should be followed across and aligned with the Company goals, strategies, and good practices.

  • Establish Panda Code of Ethics and ensure that it is followed by Corporate and Business Units.

  • Develop and drive the administration of Delegation & Authority Metrics Frameworks across the organization to ensure levels of

delegations and authorities are clearly communicated and adhered to.

  • Development and setting the proper controls and systems needed for oversight and monitoring of activities to ensure compliance and

organization robustness.

  • Supports the management of Corporate Policy Framework for all entities including procedures for new or amended policies (with

regular reviews and ensuring any changes are promptly incorporated into the relevant policies and procedures) with approval coordination.

  • Design effective deployment plans across the organization to ensure full implementation of the endorsed Governance frameworks, manuals, and systems.

  • Development of key activities that should be monitored within the framework that take into consideration risk, sustainability,

economic/cost, and employee well-being.

  • Assist in the regular review of governance processes including analyzing existing processes, recommending, and implementing

changes, documenting new processes and procedures to support compliance, continuous improvement, and innovative best practice
in governance.

  • Conduct periodic review of the governance models of the business and recommend opportunities for improvement based on

applicable leading practice and the changing environment.

  • Allies with Compliance and Risk departments to identify risks, challenges, and opportunities, and develop plans to be incorporated as necessary within the related manuals, systems, policies, and procedures.

  • Examine the Company adherence to the Delegation of Authority & Authority Matrix to assess business decisions controls.

  • Development of periodic reporting systems that is reliable and transparent across the Group.

  • Carry out special projects and assignments on an as need basis as part of the oversight function or as required by the Company.

  • Develop, monitor, and control the department budget as per the Company strategies.

People Development and management

  • Develop and maintain effective professional working relationships with the business stockholders.

  • Developing and leading a high performing team, giving them the opportunities to be their best and by contributing to team efforts by

accomplishing related results as needed.

  • Developing a succession plan that reviewed Periodically to ensure Business Continuity, People Development and Retaining Talents

Skills

Qualifications

  • Bachelor’s Degree in business administration, accountant, finance or any other relevant field is required

  • Master’s degree in MBA or any other relevant field is preferred

Experience

8-10 years’ experience in the corporate governance function, of which at least 5 years in a managerial capacity in the design of a corporate
governance framework and development of a delegation of authority matrix

Key Competencies
